Built for the businesses that power the real economy
Institutional discipline. Main Street decisions.
We give founders and buyers access to the same decision rigor used in the world\'s most complex transactions.
Why Elgwaily Kamal exists
Main Street businesses face life-changing decisions with far less analytical support than large corporations.
Our mission is to close that gap.
Our Founders
Amr Elgwaily
Co-Founder & Managing Director
After 19 years at TD Bank Group, I realized that the businesses powering our real economy—the founder-led and operator-owned firms—were often making their most important decisions with far less analytical support than the stakes deserved. While large corporations relied on institutional rigor to evaluate risk and structure transactions, many Main Street owners entered pivotal moments without the same level of decision clarity.
I co-founded Elgwaily|Kamal to close that gap. These businesses deserve institutional-grade rigor not because they are billion-dollar enterprises, but because the outcomes matter just as much—often more—to the people behind them.
We bring investment banking discipline to the businesses Wall Street typically overlooks. I think of this as a Transfer of Power: taking the risk analysis and deal-structuring tools normally used in complex corporate transactions and putting them directly into the hands of owners and buyers.
Our approach is deliberately risk-first, because that is how serious counterparties evaluate opportunities. Whether you are preparing to sell your life's work, evaluating an unsolicited offer, or considering the acquisition of a competitor, our role is to help you see the decision clearly before committing to a path.
No theatrics. No hype. Just decision-grade insight designed to protect your legacy and your capital.
Mohammed Kamal
Co-Founder & Managing Director
I have spent nearly two decades operating at the intersection of technology, finance, and transactions, most notably through 19 years at Mastercard, where I led product, engineering, and M&A initiatives across North America and Europe. My work focused on building, acquiring, integrating, and scaling platforms that operated at global scale, under real regulatory, operational, and balance sheet constraints.
What I learned inside large financial institutions is that value creation is rarely accidental. It is engineered through disciplined capital allocation, incentive aligned deal structures, and an unglamorous focus on execution after the transaction closes. Most founder led businesses encounter M&A only once. Strategic buyers, by contrast, approach deals as repeat players with a playbook.
My venture capital work sharpened this perspective. As an investor and operating partner, I have seen how valuation is shaped long before a transaction, by governance, product architecture, unit economics, regulatory posture, and the credibility of the growth narrative. Exits are not events. They are outcomes of cumulative decisions.
I co founded Elgwaily|Kamal to bring that institutional understanding of how buyers underwrite risk and reward into the hands of owners earlier, before optionality collapses. Our role is to help founders think like acquirers, anticipate where value will be discounted, and structure decisions that compound leverage rather than surrender it.
I view every engagement through a simple lens. How does this decision change the company's strategic surface area and negotiating power over time? That is the difference between a transaction that closes and one that creates durable value.
Our Values
Risk-First Thinking
We lead with what can go wrong, not what could go right — because serious buyers and lenders do the same.
Decision-Grade Insight
Our work is designed to inform decisions, not celebrate optimism.
Respect for the Ecosystem
We work alongside brokers, lawyers, and other professionals — not against them.
